Job Description
Job Responsibilities:
- Secretarial Compliance :
- Arrange timely meetings by coordinating with stakeholders to ensure compliance with different organizational and government policies.
- Recording minutes of meeting, team directives, updates, appointments and resignations of directors and corporate actions to ensure proper documentation according to organization policies for the Companies Allotted from the Group.
- Stock Exchange Compliance :
- Keep track of new guidelines and SEBI regulatory laws and make recommendations to ensure compliance with Listing Agreement.
- Ensure compliance with Listing Agreement and Takeover Code.
- Monitor Directors’ shareholding pattern within defined organizational policy and disclosure policy.
- Ensure internal stakeholders are in compliance with the Insider Trading Code for adhering to SEBI regulations
- Legal and Other Miscellaneous Compliance :
- Draft & implement Standard Operating Procedures required for Compliance, Changes, Regularisation, application of management and governmental decisions.
- Provide advice in Drafting and vetting of legal documents like MOU, Agreement, Undertakings, Special Power of Attorney etc.
- RBI Compliance :
- NBFC and Annual Performance Report Filings for group companies; De-registering the Non-NBFC Companies.
- Filing and other Report Paperwork :
- All appropriate filings and directives to team members
- Facilitate prompt e-form filings and other filings to statutory bodies and government agencies.

Desired Candidate Profile:
- Minimum Qualification : Associate Member ICSI with Graduation.
- Preferred additional qualification : LLB or NCFM Certification
- Minimum experience : 3 - 5 years experience working in a Listed Company environment, Experience in Large Corporate with multiple products and group subsidiaries is desirable.
- Relevant/Additional Experience : - Good drafting and minutes writing skills
- Grip on English, Hindi and local language
- Organised and deft and filing & paperwork, managing routine activities with deadlines, share accounting, updated on regulatory environment
- Competence in Word, Excel, PPT etc.
